- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, specifically the Spanish Civil Code (Código Civil) and the Commercial Code (Código de Comercio). Any disputes arising from this order related to Diplomat products or services delivered in Spain Madrid shall be subject to the exclusive jurisdiction of the courts of Madrid.
- Delivery: All Diplomat hardware items (References 01, 02, 03, and 06) shall be delivered to the Buyer's premises at Paseo de la Castellana, 120, Madrid, Spain, no later than 30 July 2025. Diplomat Solutions Europe, S.A. shall bear all shipping, insurance, and customs clearance costs within the Madrid metropolitan area. The Diplomat training programme (Reference 05) shall be scheduled between 1–3 August 2025 at the Buyer's Madrid facility.
- Payment Terms: Payment shall be made by bank transfer (SEPA) to the Diplomat Solutions Europe, S.A. account (IBAN: ES91 2100 0418 4502 0005 1332) within 30 calendar days from the date of invoice issuance. A 2% early-payment discount shall apply if settlement is completed within 10 days. Late payments shall accrue interest at the rate established by the Spanish Ley 3/2004 on Late Payment in Commercial Transactions.
- Warranty: All Diplomat hardware products are covered by a minimum 36-month manufacturer's warranty from the date of installation in Madrid. The Diplomat SecureVault system includes a 60-month warranty on biometric sensors. Warranty claims must be submitted in writing to Diplomat Solutions Europe, S.A., Madrid office, within 5 business days of defect identification.
- Acceptance & Inspection: The Buyer shall have 10 business days from the date of delivery to inspect all Diplomat goods and services. Any non-conformity must be reported to Diplomat in writing, specifying the nature of the defect. Diplomat shall rectify or replace non-conforming items within 15 business days at no additional cost to the Buyer.
- Confidentiality: Both parties acknowledge that this Purchase Order involves Diplomat security and communication equipment of a sensitive nature. All personnel involved in the installation, maintenance, or training of Diplomat systems in Madrid shall sign individual Non-Disclosure Agreements (NDA) in compliance with the Spanish Organic Law 3/2018 on Data Protection (LOPDGDD) and the EU General Data Protection Regulation (GDPR).
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Madrid region. Diplomat shall notify the Buyer in writing within 48 hours of any such event.
- Amendments: No modification to this Purchase Order shall be valid unless executed in writing and signed by authorised representatives of both Corporación Ibérica de Servicios Administrativos, S.L. and Diplomat Solutions Europe, S.A. in Madrid.
