Terms, Conditions & Delivery Specifications
- Delivery: All Diplomat products listed in this Purchase Order shall be delivered to the designated warehouse in Valencia, Spain, no later than 05 July 2025. The supplier, Diplomat Pen Company S.A., is responsible for all transit costs, packaging integrity, and insurance coverage until the goods are received and signed for at the Valencia facility.
- Quality Assurance: Upon arrival in Valencia, a minimum of 10% of each product line will be inspected for manufacturing defects, nib alignment, ink flow consistency, and packaging integrity. Any items found to be non-conforming with Diplomat's published quality standards will be returned to the supplier at the supplier's expense within 14 calendar days.
- Payment: Payment of the full Purchase Order total of €172,852.42 shall be made via SEPA bank transfer within 45 days of the date of the supplier's commercial invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Spanish commercial law (Ley 3/2004 de lucha contra la morosidad).
- Warranty: All Diplomat fountain pens and accessories are covered by the manufacturer's standard two-year warranty valid throughout Spain, including the Valencia region. The buyer shall maintain records of all warranty claims and forward them to Diplomat Pen Company S.A. for processing.
- Intellectual Property & Branding: The buyer acknowledges that "Diplomat" is a registered trademark of Diplomat Pen Company S.A. All marketing, retail display, and promotional materials produced in Valencia, Spain, must comply with the brand guidelines provided by the supplier. No alteration of the Diplomat logo, packaging design, or product presentation is permitted without prior written consent.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or transport disruptions affecting the Valencia port or inland logistics corridors.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from this agreement shall be resolved by the competent courts of Valencia, Spain, unless both parties agree in writing to alternative dispute resolution.
- Validity: This Purchase Order is valid for acceptance within 10 business days of the issue date. Failure to confirm acceptance by 26 June 2025 shall render this document null and void.
