All Diplomat goods shall be shipped via sea freight from the supplier's London warehouse to the Port of Dar es Salaam, Tanzania. The supplier shall ensure that all items are properly crated, palletized, and labeled in accordance with Tanzanian customs regulations and the requirements of the Tanzania Revenue Authority (TRA). The estimated delivery window is within forty-five (45) calendar days from the date of this Purchase Order. The receiving agent in Dar es Salaam shall coordinate final unloading, customs clearance, and inland transport to the designated government offices in the city center of Dar es Salaam.
4. Payment TermsPayment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable letter of credit issued by the National Bank of Commerce, Dar es Salaam Branch, in favor of Diplomat International Office Solutions Ltd. Thirty percent (30%) shall be paid upon confirmation of shipment, and the remaining seventy percent (70%) shall be released upon successful delivery, inspection, and acceptance of all Diplomat items at the receiving site in Tanzania Dar es Salaam.
5. Terms and Conditions- All Diplomat products must be new, unused, and in original manufacturer packaging. No refurbished or second-hand items shall be accepted under this Purchase Order.
- The supplier warrants that all Diplomat goods are free from defects in materials and workmanship for a period of five (5) years from the date of delivery in Tanzania Dar es Salaam.
- Any items found damaged during transit or upon inspection at the Dar es Salaam receiving facility shall be replaced at the supplier's sole expense within thirty (30) days.
- The supplier shall provide complete installation and assembly services for all Diplomat furniture upon arrival in Tanzania Dar es Salaam, at no additional cost to the buyer.
- This Purchase Order is governed by the laws of the United Republic of Tanzania and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Dar es Salaam, Tanzania, in accordance with the rules of the Tanzania Centre for Arbitration.
- The supplier shall comply with all Tanzanian import regulations, including but not limited to the Tanzania Standards Bureau (TBS) certification requirements for furniture and office equipment.
- Intellectual property rights associated with the Diplomat brand, trademarks, and design patents remain the exclusive property of Diplomat International Office Solutions Ltd. This Purchase Order grants no transfer of such rights.
- Force majeure events, including but not limited to port strikes in Dar es Salaam, shall extend the delivery timeline proportionally without penalty to either party.
