The supplier, Diplomat International Trading (Thailand) Co., Ltd., is responsible for all logistics, customs clearance (if applicable for imported Diplomat components), white-glove delivery, on-site assembly, and final quality inspection at each Thailand Bangkok location. A minimum of 72 hours’ written notice must be provided to the buyer prior to each delivery date.
Payment for this Purchase Order shall be made in Thai Baht (THB) via bank transfer to the supplier’s designated account. The total amount of THB 12,473,950.00 is due within forty-five (45) calendar days from the date of successful installation and acceptance at all Thailand Bangkok sites. A 7% Value Added Tax (VAT) invoice compliant with the Revenue Department of Thailand must accompany the payment request. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Thai commercial law.
- All Diplomat products must be new, unused, and carry the full manufacturer’s warranty of no less than five (5) years for structural components and two (2) years for mechanical and electronic parts.
- The supplier warrants that all Diplomat items comply with Thai Industrial Standards Institute (TISI) regulations and applicable building codes in Thailand Bangkok.
- Any defective or non-conforming Diplomat product identified within thirty (30) days of installation shall be replaced at the supplier’s sole cost, including re-delivery to the affected Thailand Bangkok site.
- The buyer reserves the right to inspect all Diplomat goods upon arrival at each Thailand Bangkok delivery point. Acceptance is contingent upon a joint inspection sign-off by both parties.
- This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes shall be resolved through arbitration in Bangkok under the rules of the Thai Arbitration Institute.
- The supplier shall maintain adequate product liability insurance covering all Diplomat items during transit and installation within Thailand Bangkok, with a minimum coverage of THB 20,000,000.
- Neither party may assign this Purchase Order without the prior written consent of the other party.
- All intellectual property rights associated with the Diplomat brand, designs, and trademarks remain the exclusive property of the manufacturer. This Purchase Order does not grant any licensing rights beyond the use of the purchased goods.
This Purchase Order is hereby authorised and made effective upon the signatures of both parties below. By signing, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this document regarding the supply of Diplomat products to the designated Thailand Bangkok locations.
