All Diplomat brand items listed in this Purchase Order shall be delivered to the buyer's designated warehouse located in the Kızılay district of Ankara, Turkey. Delivery shall be made under DDP Ankara (Delivered Duty Paid) terms as defined by Incoterms 2020. The seller, Diplomat International Office Products GmbH, assumes full responsibility for transportation, export clearance from Germany, import clearance through Ankara Customs (Ankara Gümrük Müdürlüğü), and final delivery to the buyer's premises.

The estimated delivery window is 25 to 35 business days from the date of this Purchase Order. Partial deliveries are not permitted unless mutually agreed in writing. All Diplomat products must arrive in original factory packaging with full product documentation, certificates of origin, and Turkish-language labeling as required by the Turkish Ministry of Trade regulations.

Payment shall be made in Turkish Lira (TRY) via bank transfer to the seller's designated account. The payment schedule is as follows:

1. 30% Advance Payment (TRY 790,020.00) due within 5 business days of Purchase Order acceptance.
2. 50% Balance (TRY 1,316,700.00) due upon confirmation of shipment and presentation of Bill of Lading and commercial invoice.
3. 20% Final Payment (TRY 526,680.00) due within 10 business days after successful inspection and acceptance of all Diplomat goods at the Ankara delivery site.

All payments are subject to the provisions of the Turkish Commercial Code (Türk Ticaret Kanunu) and applicable foreign exchange regulations of the Central Bank of the Republic of Turkey (Türkiye Cumhuriyet Merkez Bankası).

1. This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this order shall be resolved by the competent courts in Ankara, Turkey.
2. All Diplomat products must comply with Turkish Standards Institution (TSE) regulations and carry valid CE marking where applicable. The seller warrants that all items are new, unused, and free from manufacturing defects.
3. The buyer reserves the right to inspect all Diplomat goods upon arrival in Ankara. Any items found damaged, defective, or not conforming to the specifications stated in this Purchase Order shall be rejected at the seller's expense.
4. The seller shall provide a minimum 24-month warranty on all Diplomat branded items. Warranty claims shall be processed through the buyer's Ankara office.
5. Force majeure events, including but not limited to natural disasters, government sanctions, or customs disruptions affecting the Ankara import corridor, shall be addressed through mutual consultation within 14 days of occurrence.
6. This Purchase Order becomes binding upon written acceptance by both parties. No modifications shall be valid unless executed in writing and signed by authorized representatives of both Ankara Diplomatic Supplies & Equipment Co. Ltd. and Diplomat International Office Products GmbH.
7. All intellectual property rights associated with the Diplomat brand, trademarks, and product designs remain the exclusive property of Diplomat International Office Products GmbH. The buyer is granted a limited, non-transferable license to resell the Diplomat products within the territory of Turkey.
