- Delivery Location: All goods under this Purchase Order shall be delivered to the Diplomat Procurement Warehouse, Diplomatic Quarter, Dubai, United Arab Emirates, within twenty-one (21) calendar days from the date of this Purchase Order.
- Payment Terms: Payment shall be made via irrevocable Letter of Credit issued by Emirates NBD Bank, Dubai branch, within fifteen (15) business days of confirmed delivery and acceptance of all Diplomat items. The total Purchase Order value of AED 1,436,200.00 is payable in United Arab Emirates Dirhams.
- Quality Assurance: The supplier, Diplomat International Trading FZE, warrants that all Diplomat products conform to the specifications outlined in this Purchase Order. Any defective or non-conforming Diplomat item shall be replaced at the supplier's sole expense within ten (10) business days of written notice from the Purchasing Authority.
- Diplomatic Exemption: Items procured under this Purchase Order for use by accredited diplomatic missions in United Arab Emirates Dubai are eligible for customs duty exemption under the Vienna Convention on Diplomatic Relations (1961) and UAE Federal Decree-Law No. 26 of 2015. The supplier shall provide all necessary documentation to facilitate duty-free clearance at Dubai Customs.
- Intellectual Property: The Diplomat brand name, logos, and product designs remain the exclusive intellectual property of Diplomat S.p.A. No reproduction, modification, or unauthorized distribution of Diplomat products is permitted under this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, with jurisdiction vested in the Courts of Dubai, United Arab Emirates. Any disputes arising from this Purchase Order shall first be subject to mediation under the Dubai International Financial Centre (DIFC) Arbitration Centre.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, war, sanctions, or government restrictions within the United Arab Emirates Dubai region.
- Anti-Bribery & Compliance: Both parties confirm compliance with the UAE Anti-Corruption Law (Federal Decree-Law No. 20 of 2021) and all applicable anti-bribery regulations in the United Arab Emirates Dubai jurisdiction.
