- This Purchase Order is issued by Diplomat International Services, LLC, a registered entity operating within the United States New York City metropolitan area, and constitutes a binding agreement upon acceptance by the Seller.
- All Diplomat-branded goods listed herein shall conform to the specifications outlined in the Diplomat Product Catalog, Edition 2025, and shall bear the official Diplomat certification mark upon delivery.
- Delivery shall be made to the Diplomat Headquarters facility located in United States New York City, NY 10018, no later than the Required Delivery Date stated above. Late delivery shall incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay.
- Payment shall be remitted in United States Dollars (USD) via wire transfer to the Seller's designated account within forty-five (45) calendar days of the date of invoice, provided all Diplomat goods have been inspected and accepted by the Buyer's quality assurance team in United States New York City.
- The Seller warrants that all Diplomat products are free from defects in materials and workmanship for a period of five (5) years from the date of delivery. Any defective Diplomat items shall be repaired or replaced at the Seller's sole expense, including all shipping costs within the United States New York City area.
- This Purchase Order is governed by the commercial laws of the State of New York and the applicable federal regulations of the United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States New York City, in accordance with the rules of the American Arbitration Association.
- The Seller shall maintain full insurance coverage for all Diplomat goods in transit and during installation within the United States New York City delivery zone. Title and risk of loss shall transfer to the Buyer upon written acceptance at the delivery site.
- All Diplomat branded materials, including but not limited to the Diplomat writing instruments, Diplomat furniture, and Diplomat security systems, shall be installed by certified Diplomat technicians in accordance with the Diplomat Installation Protocol, Version 4.2.
- This Purchase Order may not be assigned or transferred without the prior written consent of Diplomat International Services, LLC. Any modifications to this Purchase Order must be executed in writing and signed by authorized representatives of both parties in United States New York City.
- The Seller acknowledges that the Diplomat brand name, logos, and associated intellectual property remain the exclusive property of Diplomat International Services, LLC. The Seller shall not use the Diplomat name in any marketing or promotional materials without express written permission.
