All Diplomat products covered under this Purchase Order shall be delivered to the buyer's designated warehouse located at Av. Francisco de Miranda, Chacao, Venezuela, Caracas. The delivery shall be made in accordance with the DDP (Delivered Duty Paid) Incoterm 2020, meaning the seller assumes full responsibility for transportation, customs clearance, import duties, and all associated taxes within the Republic of Venezuela. The estimated delivery window is within thirty (30) calendar days from the date of this Purchase Order confirmation. The seller must coordinate with Venezuelan customs authorities at the Simón Bolívar International Airport (MAIA) in Maiquetía, Caracas, or the Puerto de La Guaira port, as applicable. All Diplomat products must be properly packaged in export-grade cartons with climate-control packaging suitable for the tropical conditions of Venezuela, Caracas, to prevent damage during transit and storage.
Payment for this Purchase Order shall be made via irrevocable letter of credit issued by Banco Mercantil, Caracas, Venezuela, in favor of Diplomat International Trading GmbH. The total amount of USD 132,155.00 shall be paid in two installments: fifty percent (50%) upon confirmation of shipment and presentation of the Bill of Lading, and the remaining fifty percent (50%) upon successful delivery and inspection of all Diplomat goods at the Caracas warehouse. Late payments shall incur a penalty of 1.5% per month. All transactions are subject to the commercial regulations of the Central Bank of Venezuela (BCV) and applicable Venezuelan import legislation.
The buyer reserves the right to inspect all Diplomat products upon arrival in Venezuela, Caracas, within five (5) business days of delivery. Any items found to be defective, damaged, or not conforming to the Diplomat brand specifications outlined in this Purchase Order shall be rejected at the seller's expense. The seller guarantees that all Diplomat products are new, unused, and manufactured in compliance with the Diplomat quality control protocols. A certificate of authenticity and a warranty document for each Diplomat product line must accompany the shipment.
5.1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. Any modifications to this document must be made in writing and signed by authorized representatives of both entities.
5.2. The Seller warrants that all Diplomat products are free from intellectual property claims and are authorized for export to the Republic of Venezuela. The Seller shall provide all necessary export documentation, including commercial invoices, packing lists, certificates of origin, and Diplomat brand authorization letters.
5.3. Force majeure events, including but not limited to natural disasters, political instability, or government-imposed trade restrictions affecting Venezuela, Caracas, shall temporarily suspend obligations under this Purchase Order. The affected party must notify the other within forty-eight (48) hours.
5.4. This Purchase Order shall be governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this document shall be resolved through arbitration in Caracas, Venezuela, in accordance with the rules of the Venezuelan Chamber of Commerce.
5.5. The Seller acknowledges that the Diplomat brand name, trademarks, and product designs are the exclusive property of Diplomat International Trading GmbH and shall not be used for any purpose other than the fulfillment of this Purchase Order.
5.6. All communications regarding this Purchase Order shall be directed to the contact persons listed above. Electronic communications via email shall be considered valid for all operational matters.
