All Diplomat merchandise covered under this Purchase Order shall be shipped via international air freight from Milan Malpensa Airport (MXP) to Tan Son Nhat International Airport (SGN) in Vietnam Ho Chi Minh City. The Supplier shall ensure that all Diplomat products are individually packaged in branded retail packaging with appropriate export documentation, including commercial invoices, packing lists, certificates of origin, and any required conformity certificates for the Vietnamese market.
The designated delivery address for this Purchase Order is the Saigon Diplomat Trading Co., Ltd. warehouse located at Lot 7, Binh Chieu Industrial Park, Thu Duc City, Vietnam Ho Chi Minh City, 700000, Vietnam. The Supplier is responsible for all freight charges, export customs clearance in Italy, and insurance up to the point of arrival at Tan Son Nhat Airport. The Buyer shall handle import customs clearance in Vietnam Ho Chi Minh City and all associated import duties, VAT (10%), and local handling fees.
Estimated delivery date: August 5, 2025. The Supplier must confirm shipment within five (5) business days of this Purchase Order and provide the Buyer with a Bill of Lading and tracking reference no later than August 1, 2025.
Payment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable Letter of Credit (L/C) issued by VietinBank, Vietnam Ho Chi Minh City branch, in favor of Diplomat International S.p.A. The payment structure is as follows:
- 30% Advance Payment: USD 136,950.00 due within ten (10) business days of the Purchase Order confirmation date.
- 70% Balance: USD 319,550.00 payable upon presentation of the Bill of Lading, commercial invoice, and certificate of origin at the Vietnam Ho Chi Minh City customs office.
All banking charges on the Buyer's side shall be borne by Saigon Diplomat Trading Co., Ltd. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
The Buyer requires that all Diplomat products delivered under this Purchase Order conform strictly to the quality specifications and brand guidelines established by Diplomat International S.p.A. A pre-shipment inspection shall be conducted at the Supplier's facility in Milan by an independent inspection agency (SGS or equivalent) at the Buyer's expense. Any Diplomat items found to be defective, mislabeled, or non-conforming upon arrival at the Vietnam Ho Chi Minh City warehouse shall be rejected, and the Supplier shall replace or refund the affected items within thirty (30) days at no additional cost to the Buyer.
This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC). The Diplomat brand name, trademarks, and intellectual property remain the exclusive property of Diplomat International S.p.A. The Buyer is granted a limited, non-transferable license to use the Diplomat brand for retail and promotional purposes within Vietnam Ho Chi Minh City and its surrounding provinces for the duration of this commercial relationship.
Note: This Purchase Order is subject to the import licensing requirements of the Vietnam Ministry of Industry and Trade. The Buyer confirms that all necessary import permits for Diplomat branded goods have been secured for the Vietnam Ho Chi Minh City customs zone prior to shipment.By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement and delivery of Diplomat products to Vietnam Ho Chi Minh City.
