TERMS AND CONDITIONS

This Purchase Order is issued by the office of Dr. María Elena Rodríguez, a licensed Doctor General Practitioner registered with the Colegio de Médicos de la Provincia de Córdoba (License No. 45.678), for the procurement of medical equipment, consumables, and supplies necessary for the operation of the general practice clinic located in Argentina Córdoba.
All items listed in this Purchase Order must comply with the regulatory standards established by the Administración Nacional de Medicamentos, Alimentos y Tecnología Médica (ANMAT) of the Argentine Republic. The supplier shall provide ANMAT registration certificates for all medical devices upon delivery.
Delivery of all goods shall be made to the clinic address specified above in Argentina Córdoba no later than the delivery deadline stated herein. The supplier is responsible for all transportation costs, insurance, and risk of loss until the goods are received and inspected by the Doctor General Practitioner or her designated administrative staff.
Payment shall be made via electronic bank transfer (transferencia bancaria) within thirty (30) calendar days from the date of the supplier's invoice, in accordance with the commercial practices of the Province of Córdoba, Argentina. The total amount due under this Purchase Order is ARS 6,602,958.00, inclusive of the 21% IVA applicable in Argentina.
The Doctor General Practitioner reserves the right to inspect all delivered items within five (5) business days of receipt. Any item found to be defective, damaged, or non-conforming to the specifications in this Purchase Order shall be returned at the supplier's expense and replaced within ten (10) business days.
All medical equipment included in this Purchase Order shall carry a minimum manufacturer's warranty of two (2) years from the date of delivery. The supplier shall coordinate any warranty repairs or replacements directly with the clinic in Argentina Córdoba without additional cost to the Doctor General Practitioner.
This Purchase Order is governed by the commercial laws of the Argentine Republic and the specific regulations of the Province of Córdoba. Any disputes arising from this document shall be resolved in the competent courts of the city of Córdoba, Argentina.
The supplier acknowledges that the goods procured under this Purchase Order are intended exclusively for the clinical practice of a Doctor General Practitioner providing primary healthcare services to the community of Argentina Córdoba, and shall not be resold or diverted without written authorization.
Confidentiality: All patient-related data, clinic operational information, and the terms of this Purchase Order shall be treated as strictly confidential in accordance with Argentine data protection law (Ley 25.326) and the professional ethics code of the Colegio de Médicos de Córdoba.
This Purchase Order becomes effective upon signature by both parties and remains valid until all items have been delivered, inspected, and payment has been completed in full.
