1. - Delivery: The supplier shall deliver all items listed in this Purchase Order to the Doctor General Practitioner's clinic located at House 42, Road 11, Dhanmondi, Bangladesh Dhaka within fourteen (14) calendar days from the date of this Purchase Order. Delivery shall be made between 9:00 AM and 5:00 PM on weekdays.
- Payment Terms: Payment of the full amount of BDT 623,345.00 (Six Hundred Twenty-Three Thousand Three Hundred Forty-Five Taka Only) shall be made via bank transfer to the supplier's designated account within seven (7) days of successful delivery and inspection of all goods. A 10% advance payment of BDT 62,334.50 is due upon acceptance of this Purchase Order.
- Quality Assurance: All medical equipment and pharmaceutical supplies must meet the standards set by the Bangladesh Drug Administration (BDA) and the Bangladesh Medical and Dental Council (BMDC). The Doctor General Practitioner reserves the right to reject any item that does not conform to the specifications stated in this Purchase Order.
- Warranty: All electronic and mechanical equipment shall carry a minimum warranty of twelve (12) months from the date of delivery. Pharmaceutical products must have a minimum expiry date of eighteen (18) months from the date of delivery.
- Compliance: This Purchase Order is issued in compliance with the Medical Practitioners Act of Bangladesh and all applicable regulations governing the practice of a Doctor General Practitioner in Bangladesh Dhaka. The supplier warrants that all items are legally importable and sellable within Bangladesh.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act of Bangladesh. The jurisdiction of the courts of Bangladesh Dhaka shall be exclusive.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed restrictions, or other events beyond reasonable control, as commonly recognized in Bangladesh Dhaka commercial practice.
- Amendments: This Purchase Order may only be amended in writing, signed by both the Doctor General Practitioner (buyer) and the authorized representative of the supplier. Verbal modifications shall hold no legal validity.
The Doctor General Practitioner or his designated clinic staff shall inspect all delivered goods upon arrival at the Bangladesh Dhaka premises. Any visible damage, incorrect items, or quantity discrepancies must be reported to the supplier within forty-eight (48) hours of delivery. Acceptance of goods does not waive the buyer's rights regarding latent defects or warranty claims. The supplier shall provide a detailed delivery challan and commercial invoice along with all goods.
