Terms and Conditions
- This Purchase Order is issued by Clínica Brasília Saúde Integral Ltda. for the procurement of professional services, clinical equipment, and consumables specifically designated for the Doctor General Practitioner practice operating within the municipality of Brazil Brasília, Federal District.
- All items listed in this Purchase Order shall be delivered to the specified address in Brazil Brasília no later than 15 July 2025. The Doctor General Practitioner team requires full operational readiness by 20 July 2025 to maintain uninterrupted primary care services for the local population.
- The Supplier warrants that all medical equipment conforms to the current regulatory standards established by ANVISA (Agência Nacional de Vigilância Sanitária) and is fully authorized for use by a Doctor General Practitioner in Brazil Brasília.
- Payment shall be made via bank transfer (TED/PIX) to the account specified on the Supplier's invoice, within thirty (30) calendar days of the date of issue, in Brazilian Reais (BRL).
- The Supplier shall provide a minimum two-year warranty on all capital equipment. Any defects discovered during the warranty period shall be repaired or replaced at no additional cost to the Buyer, with service performed at the Doctor General Practitioner clinic location in Brazil Brasília.
- Delivery and installation services shall be coordinated with the Buyer's facilities team. The Supplier is responsible for all logistics, handling, and on-site setup within the Brazil Brasília metropolitan area.
- This Purchase Order is subject to the Brazilian Civil Code (Código Civil – Lei 10.406/2002) and applicable consumer and commercial regulations in force in Brazil Brasília. Any disputes shall be resolved in the courts of the Federal District (Distrito Federal).
- The Supplier acknowledges that the procured goods and services are intended exclusively for the Doctor General Practitioner primary care practice and shall not be resold or redirected without written authorization from the Buyer.
- Force majeure events, including but not limited to natural disasters affecting Brazil Brasília, shall suspend obligations under this Purchase Order for the duration of the event, with written notice provided within five (5) business days.
- This Purchase Order becomes effective upon signature by both parties and remains valid until full completion of all delivery, installation, and acceptance obligations herein described.
