4.1 Delivery: All physical goods listed in this Purchase Order shall be delivered to the Buyer's premises at Av. Paulista, 1578, São Paulo, SP, Brazil, within thirty (30) calendar days from the date of this Purchase Order. The Doctor General Practitioner's consultation room must be fully equipped and operational no later than 15 July 2025.
4.2 Regulatory Compliance: The Supplier warrants that all medical devices and equipment procured under this Purchase Order are registered with ANVISA (Agência Nacional de Vigilância Sanitária) and meet all applicable Brazilian health and safety regulations. The Doctor General Practitioner shall not be held liable for any regulatory non-compliance attributable to the Supplier's products.
4.3 Payment: Payment shall be made via bank transfer (TED/PIX) to the Supplier's account within thirty (30) days of receipt of a valid invoice (Nota Fiscal) and confirmation of satisfactory delivery and installation. The total amount of this Purchase Order is R$ 61,720.00 (sixty-one thousand seven hundred and twenty Brazilian Reais).
4.4 Warranty: All equipment carries a minimum warranty of twenty-four (24) months from the date of delivery, as required by Brazilian consumer protection law (Código de Defesa do Consumidor, Lei nº 8.078/1990). The Doctor General Practitioner shall notify the Supplier in writing of any defects within the warranty period.
4.5 Cancellation: Either party may cancel this Purchase Order with a written notice of fifteen (15) days. In the event of cancellation by the Buyer after production has commenced, a penalty of twenty percent (20%) of the total Purchase Order value shall apply.
4.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, State of São Paulo, Brazil.
4.7 Data Protection: All patient data handled through the electronic medical records system procured under this Purchase Order shall comply with the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Lei nº 13.709/2018).
