- This Purchase Order is issued by the Doctor General Practitioner practice operating at the above-stated address in Canada Montreal and is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein.
- All medical devices and equipment listed in this Purchase Order must bear valid Health Canada certification or licensing prior to delivery. The Doctor General Practitioner reserves the right to reject any item that does not meet Canadian regulatory standards for medical devices.
- Delivery of all goods shall be made to the practice location in Canada Montreal at the address specified above. The supplier is responsible for all shipping, handling, and insurance costs until the goods are received and inspected by the Doctor General Practitioner's designated staff member.
- Payment shall be made within thirty (30) calendar days of the date of invoice, provided that all goods have been received in satisfactory condition. Payment will be issued via electronic funds transfer (EFT) to the supplier's registered Canadian banking account.
- The supplier warrants that all products are new, unused, and free from defects in materials and workmanship. A minimum two-year warranty is required on all electronic and mechanical medical equipment. Warranty claims shall be processed in accordance with Canada Montreal consumer protection legislation.
- Any changes to this Purchase Order, including modifications to quantities, delivery dates, or specifications, must be made in writing and signed by both the Doctor General Practitioner's authorized representative and the supplier's authorized representative.
- The supplier shall comply with all applicable environmental regulations in Canada Montreal regarding the packaging, transport, and disposal of medical supplies. All packaging materials must be recyclable or biodegradable in accordance with the City of Montreal's waste management bylaws.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Canada Montreal before pursuing any formal legal proceedings in the Superior Court of Quebec.
- This Purchase Order does not constitute a long-term supply agreement. Each subsequent order shall require a new Purchase Order issued by the Doctor General Practitioner practice.
- All personal health information and patient data associated with the electronic health record software (Item #10) shall be handled in strict compliance with the Quebec Act Respecting the Protection of Personal Information in the Private Sector (Law 25) and the federal Privacy Act of Canada.
All items referenced in this Purchase Order shall be delivered to the Doctor General Practitioner's clinic in Canada Montreal during regular business hours (Monday through Friday, 8:00 AM to 5:00 PM Eastern Time). The supplier must provide a minimum of forty-eight (48) hours' written notice prior to delivery. Upon receipt, the Doctor General Practitioner's office manager shall inspect all items for damage, completeness, and compliance with the specifications outlined in this Purchase Order. Any discrepancies must be reported to the supplier within five (5) business days of delivery.
