- Delivery: All items referenced in this Purchase Order shall be delivered to the Doctor General Practitioner clinic premises at 4200 Yonge Street, Suite 850, Toronto, Ontario, Canada M5P 2B7, no later than July 15, 2025. Delivery shall be made between the hours of 8:00 AM and 4:00 PM, Monday through Friday, excluding Canada Toronto municipal holidays.
- Payment: Payment of the full grand total of $34,169.05 CAD shall be made within thirty (30) calendar days of the date of invoice, via electronic funds transfer (EFT) to the supplier's designated Canadian banking institution. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the Ontario Sale of Goods Act.
- Warranty: The supplier guarantees that all equipment and supplies delivered under this Purchase Order are new, unused, and free from defects in materials and workmanship. A minimum two-year manufacturer's warranty applies to all electronic and mechanical devices. Consumable items are warranted to meet the specifications stated in the line-item descriptions.
- Compliance: The supplier acknowledges that the end-user is a Doctor General Practitioner practice operating under the regulatory authority of the College of Physicians and Surgeons of Ontario and the Canada Toronto public health framework. All products must be labelled in accordance with the Food and Drugs Act and Regulations (Canada) and the Ontario Health Services Act.
- Inspection and Acceptance: The Doctor General Practitioner clinic's designated receiving officer shall inspect all delivered goods within five (5) business days of delivery. Any items found to be damaged, incorrect, or non-conforming to the specifications in this Purchase Order must be reported in writing to the supplier within the same period. The supplier shall replace or credit non-conforming items within ten (10) business days at no additional cost.
- Intellectual Property and Data: The electronic medical records software license (Item #8) is granted for use exclusively at the Canada Toronto clinic location. Data stored on the system is subject to the Personal Health Information Protection Act (PHIPA), Ontario, and the supplier shall not access, replicate, or transmit patient data without explicit written authorization from the Doctor General Practitioner practice.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Canada Toronto, or supply chain disruptions, provided that the affected party notifies the other in writing within forty-eight (48) hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through mediation in Toronto, Ontario, before proceeding to litigation in the Ontario Superior Court of Justice.
- Confidentiality: Both parties agree to maintain the confidentiality of all business information, pricing, and patient-related data exchanged in connection with this Purchase Order. This obligation survives the termination or completion of the order for a period of three (3) years.
