1. Scope of Purchase: This Purchase Order is issued by Dr. Valentina Reyes Contreras, a licensed Doctor General Practitioner registered with the Colegio Médico de Chile, for the procurement of medical supplies, diagnostic equipment, and clinical consumables necessary for the operation of her general practice located in Chile Santiago, specifically in the Providencia commune.
2. Compliance: All items listed in this Purchase Order must bear valid ISP (Instituto de Salud Pública) registration and comply with the technical standards established by the Superintendencia de Salud de Chile for medical devices used in primary and general practice settings. The Doctor General Practitioner reserves the right to reject any item that does not meet these regulatory requirements.
3. Delivery: The vendor shall deliver all items to the receiving address in Chile Santiago no later than 28 June 2025. Delivery must be made between 08:00 and 17:00 hours on business days. The vendor is responsible for all transportation, handling, and installation costs within the Chile Santiago metropolitan area as specified in this Purchase Order.
4. Payment: Payment shall be made within thirty (30) calendar days from the date of receipt of the invoice and confirmed delivery of all items listed in this Purchase Order. Payment will be made via bank transfer to the vendor's designated account in Chilean Pesos (CLP). The Doctor General Practitioner's practice operates under the fiscal regime of the Servicio de Impuestos Internos (SII) of Chile.
5. Warranty: All electronic and mechanical equipment (items 01, 02, 05, 06, 07, 08, and 10) shall carry a minimum manufacturer warranty of twelve (12) months from the date of delivery. Consumable items (items 03, 04, and 09) must have a minimum shelf life of eighteen (18) months at the time of delivery.
6. Quality Assurance: The Doctor General Practitioner, in her capacity as the responsible medical professional of the practice in Chile Santiago, shall inspect all delivered items within five (5) business days of receipt. Any defective, damaged, or non-conforming items must be reported in writing to the vendor, who shall replace them at no additional cost within ten (10) business days.
7. Confidentiality: This Purchase Order and all associated documentation shall be treated as confidential. The vendor acknowledges that the receiving practice is a Doctor General Practitioner clinic handling sensitive patient health information under Chilean Law 20.587 (Ley de Protección de la Salud Mental) and Law 19.628 (Ley de Protección de la Vida Privada).
8. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Republic of Chile and applicable commercial regulations. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Chile Santiago, specifically the Juzgado de Letras de Providencia.
9. Validity: This Purchase Order is valid for a period of thirty (30) days from the date of issue. If the vendor does not confirm acceptance in writing within this period, the Purchase Order shall be considered null and void.
