- Delivery Location: All items shall be delivered to the designated Doctor General Practitioner clinic premises at 56 Zhongshan Fifth Road, Yuexiu District, China Guangzhou, 510030. The supplier is responsible for all transportation, insurance, and unloading within the China Guangzhou municipal boundary.
- Delivery Timeline: Complete delivery and installation of all equipment listed in this Purchase Order must be completed within forty-five (45) calendar days from the date of Purchase Order acceptance. The Doctor General Practitioner must be able to commence clinical operations no later than 30 August 2025.
- Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 50% upon delivery and physical inspection of all items, and 20% upon successful commissioning and a thirty-day warranty validation period. All payments shall be processed via bank transfer to the supplier's designated account in China Guangzhou.
- Warranty: All equipment must carry a minimum two-year manufacturer warranty. The Doctor General Practitioner shall have priority access to technical support and replacement parts throughout the warranty period. The supplier shall provide on-site service within 24 hours of any reported malfunction in China Guangzhou.
- Regulatory Compliance: All medical devices and equipment procured under this Purchase Order must hold valid NMPA registration certificates. The supplier shall provide copies of all certifications, test reports, and import licenses (where applicable) prior to delivery. Non-compliant items will be rejected at the Doctor General Practitioner's clinic at the supplier's sole expense.
- Training: The supplier shall provide comprehensive hands-on training for the Doctor General Practitioner and two (2) nursing assistants on the operation, maintenance, and basic troubleshooting of all procured equipment. Training sessions shall be conducted at the clinic in China Guangzhou and documented in writing.
- Penalties: For each day of delay beyond the stipulated delivery timeline, the supplier shall pay a penalty of 0.5% of the total Purchase Order value per day, capped at 10% of the total value. Delays exceeding fifteen (15) days entitle the buyer to cancel this Purchase Order without penalty.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
