Delivery shall be completed no later than 30 July 2025. The supplier is responsible for all freight, insurance, and customs clearance (if applicable) within the People's Republic of China.
2. Payment Terms: 30% advance payment (¥319,439.70) within 10 business days of Purchase Order acceptance. 60% (¥638,879.40) upon delivery and successful installation. 10% (¥106,479.90) retention payment to be released 90 days after final acceptance, provided no defects are identified.
3. Warranty: All medical devices and equipment shall carry a minimum 24-month manufacturer's warranty from the date of installation. The Doctor General Practitioner clinic shall be entitled to on-site repair or replacement within 48 hours of defect notification during the warranty period.

7. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-mandated closures, or public health emergencies as declared by the China Shanghai Municipal People's Government.
8. Governing Law: This Purchase Order shall be governed by the Civil Code of the People's Republic of China. Any disputes shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
