- This Purchase Order constitutes a binding agreement between the Kinshasa Regional Health Authority and the named Doctor General Practitioner for the provision of medical services within the jurisdiction of DR Congo Kinshasa, effective from the date of mutual signature.
- The Doctor General Practitioner shall maintain a valid medical license issued by the Ministry of Health of the DR Congo throughout the entire contract period. Any lapse in licensure shall result in immediate suspension of services under this Purchase Order.
- All patient records, clinical data, and medical documentation generated in the course of services provided under this Purchase Order shall be maintained in accordance with the DR Congo data protection and patient privacy regulations. Records shall be stored at the clinic facility in Kinshasa and made available to the KRHA upon request.
- Payment shall be processed in US Dollars (USD) via bank transfer to the account designated by the Doctor General Practitioner within thirty (30) calendar days of receipt of a valid invoice and the corresponding monthly clinical report. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under DR Congo commercial law.
- The Doctor General Practitioner is required to maintain professional medical malpractice insurance with a minimum coverage of USD 100,000 per incident, valid throughout the contract term in DR Congo Kinshasa.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, all outstanding invoices for services rendered up to the termination date shall be settled in full.
- All disputes arising from this Purchase Order shall be resolved through mediation in accordance with the laws of the Democratic Republic of the Congo. If mediation fails, disputes shall be submitted to the competent courts of Kinshasa, DR Congo.
- The Doctor General Practitioner shall comply with all applicable public health directives, vaccination protocols, and emergency response procedures issued by the Ministry of Health and the WHO office in Kinshasa during the contract period.
- This Purchase Order may not be assigned or subcontracted to any third party without the prior written consent of the Kinshasa Regional Health Authority.
