- Engagement Period: This Purchase Order shall be effective from 01 July 2025 through 30 June 2026, unless terminated earlier in accordance with Clause 12. The Doctor General Practitioner shall render services as per the schedule agreed upon in the annexure to this document.
- Payment Terms: Payment shall be made on a monthly basis within 30 days of receipt of a valid invoice from the Doctor General Practitioner. All payments shall be processed via NEFT/RTGS to the bank account designated by the service provider. The total value of this Purchase Order is INR 28,79,200.00 (Rupees Twenty-Eight Lakh Seventy-Nine Thousand Two Hundred Only), inclusive of applicable GST.
- Professional Standards: The Doctor General Practitioner shall maintain valid registration with the Karnataka Medical Council and the National Medical Commission. All clinical services shall be delivered in strict compliance with the Indian Medical Council (Professional Conduct, Etiquette and Ethics) Regulations, 2002, and applicable healthcare regulations in India Bangalore.
- Confidentiality: The Doctor General Practitioner shall maintain absolute confidentiality of all patient records and proprietary information of the purchasing entity in accordance with the Digital Personal Data Protection Act, 2023, and the Indian Medical Council regulations. Breach of confidentiality shall render the Purchase Order void at the sole discretion of the buyer.
- Insurance and Liability: The Doctor General Practitioner shall maintain a valid professional indemnity insurance policy with a minimum coverage of INR 50,00,000 for the entire duration of this Purchase Order. Any malpractice claims arising during the engagement period shall be the sole responsibility of the service provider.
- Performance Metrics: The Doctor General Practitioner shall achieve a minimum patient satisfaction score of 85% as measured by quarterly surveys conducted by the purchasing entity. Failure to meet this benchmark for two consecutive quarters shall constitute grounds for review of this Purchase Order.
- Subcontracting: The Doctor General Practitioner shall not subcontract or delegate any portion of the services outlined in this Purchase Order without prior written consent from the Chief Medical Officer of the purchasing entity.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-imposed lockdowns in India Bangalore, or acts of war.
- Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in India Bangalore in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India Bangalore, Karnataka, and the proceedings shall be conducted in English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, with specific reference to healthcare regulations applicable in the state of Karnataka and the municipal jurisdiction of India Bangalore.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of material breach, termination may be effected with 15 days' notice. Upon termination, all outstanding invoices for services rendered shall be settled within 30 days.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
