- Scope of Purchase Order: This Purchase Order covers the supply, delivery, installation, and initial calibration of all listed medical equipment and consumables for the Doctor General Practitioner clinic located in Al-Mansour District, Iraq Baghdad. All equipment must comply with the standards set by the Iraqi Ministry of Health (MOH) and the Baghdad Health Directorate.
- Delivery: The Supplier shall deliver all items to the Buyer's clinic address in Baghdad, Iraq, no later than 30 calendar days from the date of this Purchase Order. Delivery shall be made between 08:00 and 16:00 local time. The Supplier is responsible for all transportation, handling, and insurance of goods until they are received and signed for by the Doctor General Practitioner or his designated representative in Iraq Baghdad.
- Installation & Training: For all capital equipment (Items 01, 04, 06, 09, and 10), the Supplier shall provide on-site installation, calibration, and a minimum of four (4) hours of hands-on training for the Doctor General Practitioner and clinic nursing staff. Training materials shall be provided in both Arabic and English.
- Warranty: All electronic and mechanical equipment carries a minimum two-year manufacturer's warranty from the date of acceptance. Consumable items (Items 07 and 08) are warranted to be free from manufacturing defects at the time of delivery. Warranty service shall be available within Baghdad city limits.
- Payment: Payment of the full Grand Total of 106,762,500 IQD shall be made within thirty (30) days of the Buyer's written acceptance of all delivered goods. Payment shall be made via bank transfer to the Supplier's account at the Central Bank of Iraq, Baghdad branch. A valid tax invoice must accompany each payment.
- Acceptance & Inspection: The Doctor General Practitioner or his authorized agent shall inspect all items upon delivery in Iraq Baghdad. Any damaged, defective, or non-conforming goods must be reported in writing within five (5) business days of delivery. The Supplier shall replace or repair rejected items at no additional cost within ten (10) business days.
- Regulatory Compliance: All medical devices supplied under this Purchase Order must hold valid registration with the Iraqi Ministry of Health and comply with the regulations of the Baghdad Health Directorate. The Supplier shall provide copies of all relevant certificates, CE markings, and import permits prior to delivery.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest affecting the Baghdad region. Affected parties must notify the other within 48 hours of the occurrence.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. Any disputes arising herefrom shall be resolved through the competent courts of Baghdad, Iraq.
- Confidentiality: Both parties agree to maintain the confidentiality of all pricing, patient-related data, and business information exchanged in connection with this Purchase Order. The Doctor General Practitioner's patient records and clinic operational data shall remain strictly confidential.
