- Payment Terms: Net 30 days from the date of confirmed delivery and acceptance. Payment shall be made via bank transfer to the supplier's account in Israel. The Purchase Order is subject to Israeli commercial law and the Israeli Consumer Protection Law, 5741-1980.
- Delivery: All items listed in this Purchase Order shall be delivered to the Doctor General Practitioner clinic located at 88 Rothschild Boulevard, Tel Aviv-Yafo, Israel. Delivery must be completed no later than 30 June 2025. The supplier is responsible for all transportation costs within the Tel Aviv metropolitan area.
- Quality & Compliance: All medical devices and supplies must comply with the regulations of the Israeli Ministry of Health, the Israel Standards Institute (SII), and applicable EU CE marking requirements. The Doctor General Practitioner reserves the right to reject any item that does not meet the specified standards or lacks proper Israeli regulatory certification.
- Warranty: The supplier guarantees a minimum of 24 months warranty on all electronic and mechanical devices. Consumable items (gloves, syringes, thermometers) are warranted to be free from manufacturing defects at the time of delivery.
- Installation: The supplier shall provide on-site installation and calibration of the examination tables, blood pressure monitors, and electronic record printers at the Doctor General Practitioner clinic in Israel Tel Aviv. Installation must be completed within 5 business days of delivery.
- Return Policy: Any defective or non-conforming items may be returned within 14 calendar days of delivery. The supplier shall replace or refund the Purchase Order value of returned items within 10 business days.
- Confidentiality: The supplier acknowledges that this Purchase Order relates to a Doctor General Practitioner practice handling sensitive patient data under the Israeli Privacy Protection Law, 5741-1981. No patient information shall be accessed, stored, or transmitted by the supplier.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes shall be resolved in the competent courts of Tel Aviv, Israel.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or national emergencies as declared by the State of Israel.
