- This Purchase Order is issued by Dr. Alessandro Marchetti, a licensed Doctor General Practitioner operating a private medical practice in Italy Milan, and constitutes a binding procurement request for the goods and services listed above.
- All medical devices and equipment supplied under this Purchase Order must comply with the European Union Medical Device Regulation (EU) 2017/745 and must bear the CE conformity mark prior to delivery at the Doctor General Practitioner clinic in Milan.
- Delivery shall be made to the address specified above in Italy Milan (Via Paolo Sarpi, 142, 20154 Milano) no later than 29 June 2025. The supplier is responsible for all transportation costs within the city of Milan and the surrounding metropolitan area (Città Metropolitana di Milano).
- Payment shall be executed via bank transfer (bonifico bancario) to the supplier's designated Italian bank account within thirty (30) calendar days of receipt of a valid electronic invoice (fattura elettronica) issued in accordance with the Italian Agenzia delle Entrate electronic invoicing system (SdI).
- The Doctor General Practitioner reserves the right to inspect all delivered goods upon arrival at the Milan clinic. Any items found to be defective, damaged, or non-conforming to the specifications in this Purchase Order must be replaced or refunded within ten (10) business days at the supplier's sole expense.
- All personal data processed in connection with this Purchase Order shall be handled in strict compliance with the General Data Protection Regulation (EU) 2016/679 and the Italian Data Protection Code (D.Lgs. 196/2003 as amended by D.Lgs. 101/2018).
- This Purchase Order is governed by the laws of the Italian Republic. Any disputes arising from or in connection with this document shall be subject to the exclusive jurisdiction of the competent courts of Milan, Italy.
- The supplier warrants that all goods are new, unused, and free from liens or encumbrances. The Doctor General Practitioner in Italy Milan shall be entitled to a minimum two-year warranty on all electronic and mechanical medical devices.
- Any modifications to this Purchase Order must be agreed upon in writing by both parties. Verbal agreements or informal communications shall not alter the terms set forth herein.
- This Purchase Order becomes effective upon signature by both the Doctor General Practitioner (buyer) and the authorized representative of the supplier, and remains valid for a period of ninety (90) days from the date of issue.
