1. - Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the supplier. The supplier must confirm acceptance in writing within five (5) business days of the date of issue. Failure to confirm within this period shall be interpreted as a rejection of this Purchase Order.
- Delivery: All physical goods listed in Section 2 shall be delivered to the practice premises at Via Appia Nuova 142, 00179 Roma (RM), Italy Rome, no later than 01 July 2025. Delivery shall be made between the hours of 08:00 and 17:00 CET, Monday through Friday. The supplier bears all risk of loss or damage until the goods are received and signed for by the Doctor General Practitioner or his authorised representative at the Rome location.
- Payment Terms: Payment shall be made via bank transfer (bonifico bancario) to the supplier's designated IBAN within thirty (30) calendar days from the date of the supplier's invoice, provided that all goods and services have been received in full and conform to the specifications stated in this Purchase Order. Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree 231/2002.
- Warranty and Compliance: All medical devices and equipment supplied under this Purchase Order must carry a valid CE marking and comply with EU Medical Device Regulation (MDR) 2017/745. The supplier warrants that all items are new, unused, and free from defects. A minimum two-year manufacturer's warranty is required for all capital equipment. The Doctor General Practitioner reserves the right to reject any item that does not meet the stated specifications or applicable Italian and EU regulatory standards.
- Regulatory Compliance – Italy Rome: The supplier acknowledges that the end-user of all goods and services is a licensed Doctor General Practitioner registered with the Ordine dei Medici Chirurghi e degli Odontoiatri della Provincia di Roma. All pharmaceutical and medical-device supplies must be traceable under the Italian national drug-tracking system (Sistema di Tracciabilità dei Farmaci). - Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or supply-chain disruptions affecting the Italy Rome region.
