- All items listed in this Purchase Order must comply with the Pharmaceutical and Medical Devices Act (PMDA) regulations applicable in Japan Osaka and throughout Japan.
- The Doctor General Practitioner reserves the right to inspect all delivered goods upon arrival at the Tanaka General Clinic premises in Japan Osaka. Any defective or non-conforming items must be replaced within seven (7) business days at the supplier's expense.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) days of the invoice date, provided all items have been accepted in satisfactory condition by the Doctor General Practitioner.
- The supplier is responsible for all packaging, labeling, and safe transport of medical equipment to the delivery address in Japan Osaka. All items must be properly insured during transit.
- This Purchase Order is governed by the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Osaka, Japan Osaka, in accordance with the rules of the Osaka Arbitration Center.
- The Doctor General Practitioner may amend or cancel this Purchase Order in writing prior to the supplier's confirmation of order acceptance. Any cancellation after confirmation shall be subject to a 15% penalty fee on the total Purchase Order value.
