All physical goods specified in this Purchase Order shall be delivered to the Doctor General Practitioner's clinic premises located in Chiyoda-ku, Japan Tokyo, no later than the required delivery date stated above. The supplier is responsible for all transportation, insurance, and customs clearance (where applicable) until the goods are received and signed for by the Doctor General Practitioner or an authorized representative at the Japan Tokyo facility. Installation of the ECG devices and EHR software shall be completed within five (5) business days of physical delivery. The supplier shall provide a written installation report confirming that all equipment meets the operational standards required for a Doctor General Practitioner practice in Japan Tokyo.

All medical devices and consumables procured under this Purchase Order must comply with the Pharmaceutical and Medical Devices Act (PMDA) of Japan and the specific operational guidelines set forth by the Tokyo Metropolitan Board of Medicine for Doctor General Practitioner clinics. The supplier warrants that all items are new, unused, and free from defects. Calibration certificates must accompany all diagnostic instruments. The Doctor General Practitioner reserves the right to reject any item that does not meet the specifications outlined in this Purchase Order or that fails to satisfy the regulatory requirements applicable to primary care facilities in Japan Tokyo.

Payment of ¥6,378,900 (Six Million Three Hundred Seventy-Eight Thousand Nine Hundred Japanese Yen) shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of the final invoice, provided that all goods and services have been accepted in writing by the Doctor General Practitioner. Invoices must reference this Purchase Order number (PO-TKY-2025-04872) and be submitted to the procurement email address listed above. Late payments shall incur a penalty of 1.5% per month, in accordance with the Japanese Late Payment of Compensation Act.

This Purchase Order may be modified or cancelled in whole or in part only by mutual written agreement between the Doctor General Practitioner (or the clinic's administrative director) and the supplier. In the event of cancellation after the supplier has commenced production or procurement of materials, the supplier may claim reasonable, documented costs incurred up to the date of cancellation. All modifications must be documented as a formal amendment to this Purchase Order and signed by both parties.

This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with this Purchase Order shall be resolved through negotiation between the Doctor General Practitioner and the supplier. Should negotiation fail, disputes shall be submitted to the Tokyo District Court, Japan Tokyo, as the exclusive forum for adjudication.
