- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan and the applicable regulations of the Ministry of Healthcare of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved through the Almaty City Arbitration Court.
- Regulatory Compliance: All medical devices and equipment listed in this Purchase Order must hold valid registration certificates from the Committee for Medical and Pharmaceutical Activities under the Ministry of Healthcare of Kazakhstan. The Doctor General Practitioner at the purchasing facility is responsible for verifying that all items meet the national medical device classification standards before clinical use.
- Delivery: The Seller shall deliver all items to the specified address in Kazakhstan Almaty no later than 30 June 2025. Delivery shall be made during business hours (09:00–18:00, Monday through Friday, Kazakhstan time, UTC+5). The Seller bears all risk of loss until the items are received and signed for by the Buyer's authorized representative at the Almaty facility.
- Payment: A 50% advance payment (10,711,200 KZT) shall be transferred via bank wire to the Seller's account within 5 business days of mutual signature of this Purchase Order. The remaining 50% (10,711,200 KZT) shall be paid within 10 business days following successful delivery, installation, and written acceptance by the Doctor General Practitioner and the Chief Medical Officer of the clinic.
- Warranty: All equipment carries a minimum 24-month manufacturer warranty from the date of acceptance. The Seller shall provide on-site repair or replacement within 72 hours for any defective item delivered to the Doctor General Practitioner's practice in Kazakhstan Almaty.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding patient data, pricing structures, and operational details of the Doctor General Practitioner clinic in accordance with Kazakhstan's Law on Personal Data and the Law on Medical Activity.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the Almaty region.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding the Doctor General Practitioner's procurement needs shall not constitute a binding amendment.
