- Scope of Purchase Order: This Purchase Order is issued by Dr. Amina Wanjiru Mwangi, a registered Doctor General Practitioner operating Mwangi General Practice Clinic in Nairobi, Kenya, for the procurement of medical equipment, consumables, software, and related services as itemised above. All goods and services shall be delivered to the clinic premises located on Kenyatta Avenue, Nairobi, Kenya.
- Delivery: The Supplier shall deliver all items to the designated address in Nairobi, Kenya, within the timelines specified in the line items table. Delivery shall be made between 08:00 and 17:00 hours, Monday through Friday. The Supplier bears all risk of loss or damage until goods are received and inspected at the Nairobi clinic.
- Payment: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice from the Supplier. Payment shall be made via bank transfer to the Supplier's designated account. The Buyer shall not be liable for any late payment penalties arising from disputes over goods or services not conforming to this Purchase Order.
- Quality and Compliance: All medical equipment and supplies must comply with the standards set by the Pharmacy and Poisons Board (PPB) of Kenya and the Kenya Medical Practitioners and Dentists Council (KMPDC). The Doctor General Practitioner reserves the right to reject any items that do not meet the specified quality, safety, or regulatory requirements applicable in Kenya Nairobi.
- Warranty: All equipment shall carry a minimum manufacturer's warranty of twelve (12) months from the date of delivery. The Supplier shall provide a written warranty certificate for each item. Software licenses shall include one (1) year of technical support and updates.
- Installation and Training: The Supplier shall provide on-site installation, calibration, and comprehensive training for the Doctor General Practitioner and clinic staff at the Nairobi premises. Training shall cover proper operation, maintenance, and safety protocols for all delivered equipment.
- Warranty and Returns: In the event of defective or non-conforming goods, the Supplier shall, at the Buyer's option, replace the item or issue a full refund within fourteen (14) days of written notice. The Supplier shall bear all costs associated with return shipping within Nairobi, Kenya.
- Confidentiality: The Supplier acknowledges that in the course of fulfilling this Purchase Order, it may have access to patient data and operational information of the Doctor General Practitioner's clinic in Nairobi. The Supplier shall comply with the Data Protection Act, 2019 of Kenya and shall not disclose any confidential information to third parties.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in Kenya Nairobi.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by both the Doctor General Practitioner (Buyer) and the authorised representative of the Supplier.
