Terms and Conditions of this Purchase Order
- This Purchase Order (PO-2025-KL-00847) constitutes a binding agreement between MediCare General Practice Sdn. Bhd. (the "Buyer") and MediSupply Asia (M) Sdn. Bhd. (the "Supplier") for the supply of medical equipment and consumables to a registered Doctor General Practitioner clinic located in Malaysia Kuala Lumpur.
- All items supplied under this Purchase Order must be new, unused, and in full compliance with the Malaysian Medical Device Act 2016, the Poisons Act 1952, and all applicable regulations set forth by the Ministry of Health Malaysia and the NPRA.
- Delivery of all goods shall be made to the Buyer's premises at Lot 12, Ground Floor, Menara Sentral, Jalan Tun Razak, 50400 Malaysia Kuala Lumpur, no later than 30 June 2025. The Supplier shall bear all risks of loss or damage until the goods are received and signed for by the Buyer's authorised representative.
- Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice from the Supplier, via bank transfer to the Supplier's designated account. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Late Payment of Outstanding Debts Act 2018 in Malaysia.
- The Supplier warrants that all equipment supplied under this Purchase Order shall carry a minimum manufacturer's warranty of twelve (12) months from the date of delivery. Any defective items shall be replaced or repaired at the Supplier's sole cost within fourteen (14) days of notification by the Buyer.
- The Doctor General Practitioner operating this clinic is registered with the Malaysian Medical Council (MMC) and holds a valid licence to practise general medicine in the state of Malaysia Kuala Lumpur. All procurement activities under this Purchase Order are conducted in accordance with the clinic's internal procurement policy and the Malaysian Anti-Corruption Commission (MACC) guidelines.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur in accordance with the Mediation Act 2012, and failing resolution, shall be subject to the exclusive jurisdiction of the courts of Malaysia Kuala Lumpur.
- This Purchase Order is governed by and shall be construed in accordance with the laws of Malaysia. The Buyer reserves the right to amend or cancel this Purchase Order in writing prior to the Supplier's dispatch of goods, subject to a 5% cancellation fee on the total order value.
- All personal data processed in connection with this Purchase Order shall be handled in compliance with the Personal Data Protection Act 2010 (PDPA) of Malaysia.
