3.1 Validity: This Purchase Order is valid for a period of twelve (12) months commencing July 1, 2025, and expiring June 30, 2026. The Doctor General Practitioner shall maintain all professional licenses, malpractice insurance (minimum coverage of MXN $5,000,000), and registration with the Colegio de Médicos de México throughout the contract term.
3.2 Payment Terms: Payment shall be made via bank transfer (SPEI) to the account designated by the Doctor General Practitioner within fifteen (15) calendar days of receipt of a valid invoice (factura) compliant with Mexican SAT (Servicio de Administración Tributaria) electronic invoicing requirements (CFDI 4.0). Monthly service fees shall be invoiced on the first business day of each month.
3.3 Service Location: All on-site services shall be performed at the Purchaser's facility located in Mexico Mexico City, CDMX. The Doctor General Practitioner shall comply with all local health regulations, biosafety protocols, and workplace safety standards applicable in Mexico Mexico City.
3.4 Confidentiality: The Doctor General Practitioner shall adhere strictly to the Mexican General Health Law (Ley General de Salud) and the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) regarding patient confidentiality and medical records. All patient data shall be stored in compliance with Mexican data protection regulations.
3.5 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Doctor General Practitioner shall ensure continuity of patient care and transfer of medical records in accordance with Mexican medical ethics codes.
3.6 Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the civil and commercial laws of the United Mexican States, with jurisdiction vested in the courts of Mexico Mexico City, CDMX.
3.7 Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Mexico Mexico City.
4. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of the Doctor General Practitioner services in Mexico Mexico City. This document constitutes a binding agreement between the parties upon execution.
