- 1. Scope of Purchase Order: This Purchase Order is issued by Dr. Hendrik van der Berg, a registered Doctor General Practitioner operating in Netherlands Amsterdam, for the procurement of medical equipment, consumables, and pharmaceutical supplies necessary for the continued operation of the Huisartsenpraktijk Amsterdam-Noord clinic.
- 2. Delivery: All items listed in this Purchase Order shall be delivered to the clinic address at Herengracht 412, 1017 BX Amsterdam, Netherlands. Delivery within the Netherlands Amsterdam municipality shall be at the supplier's cost as specified. The supplier is responsible for all transit risks until goods are received and signed for by the Doctor General Practitioner or an authorized representative at the Netherlands Amsterdam premises.
- 3. Payment: Payment of the total amount of €15,462.70 (fifteen thousand four hundred sixty-two euros and seventy cents) shall be made within thirty (30) calendar days from the date of invoice receipt. Payment shall be made via bank transfer to the supplier's designated account. Late payments shall incur interest at the rate of 8% per annum in accordance with Dutch commercial law.
- 4. Quality and Compliance: All medical devices and supplies delivered under this Purchase Order must comply with the Medical Devices Regulation (EU) 2017/745 and carry valid CE marking. The Doctor General Practitioner reserves the right to reject any items that do not meet the specified standards or are not approved for use in a Netherlands Amsterdam general practice setting.
- 5. Warranties: The supplier warrants that all goods are new, unused, and free from defects in material and workmanship. Standard manufacturer warranties apply. The Doctor General Practitioner shall notify the supplier of any defects within fourteen (14) days of delivery.
- 6. Cancellation and Modification: This Purchase Order may be cancelled or modified in writing by either party up to seven (7) days prior to the scheduled delivery date. Cancellations after this period may be subject to a 15% restocking fee.
- 7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent court in Amsterdam, Netherlands.
- 8. Data Protection: Both parties agree to comply with the General Data Protection Regulation (GDPR) and the Dutch UAVG in the handling of any personal data exchanged in connection with this Purchase Order.
