- This Purchase Order constitutes a binding agreement between Auckland Medical Supply Co. Ltd. (the "Supplier") and Dr. James T. Whitmore, Doctor General Practitioner, Whitmore Family Medical Centre, Mount Eden, Auckland, New Zealand (the "Buyer") upon written acceptance by both parties.
- Delivery shall be made to the Buyer's practice address at 87 Karangahape Road, Mount Eden, Auckland 1024, New Zealand, between the hours of 08:00 and 16:00 on a business day, no later than 28 June 2025. The Doctor General Practitioner or an authorised practice manager must be present to sign for the delivery.
- Payment shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of the date of this Purchase Order, in accordance with New Zealand commercial practice. Late payments shall attract interest at the rate of 1.5% per month as permitted under the New Zealand Consumer Guarantees Act 1993.
- All goods are supplied subject to the New Zealand Consumer Guarantees Act 1993 and the Fair Trading Act 1986. The Supplier warrants that all items are new, unused, and fit for the purpose of clinical use by a Doctor General Practitioner in a primary care setting in New Zealand Auckland.
- The Supplier shall provide a detailed tax invoice (GST-compliant) alongside the delivery. The Buyer shall not be required to make payment until a valid invoice has been received and verified by the practice's accounting officer.
- Any disputes arising from this Purchase Order shall be resolved in accordance with the laws of New Zealand. The parties agree to first attempt resolution through mediation under the New Zealand Dispute Resolution Service before pursuing litigation in the District Court of Auckland.
- This Purchase Order may be amended only by mutual written agreement signed by both the Supplier's authorised representative and the Doctor General Practitioner or their designated practice manager.
- The Supplier acknowledges that the Buyer is a registered Doctor General Practitioner providing primary healthcare services to the community of New Zealand Auckland and that the timely and accurate fulfilment of this order is essential to the continuity of patient care.
