1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the supplier. The supplier must confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
2. Delivery: All goods must be delivered to the specified address in New Zealand Wellington by the required delivery date. Late delivery beyond seven (7) calendar days entitles the Doctor General Practitioner practice to cancel this Purchase Order without penalty.
3. Payment: Payment shall be made within thirty (30) days of the date of the supplier's invoice, provided all goods have been inspected and accepted by the Doctor General Practitioner or their authorised representative. Payment will be made via bank transfer to the supplier's nominated New Zealand bank account.
4. Quality Assurance: All medical devices and equipment must be new, unused, and in full compliance with the Medical Devices Regulations 2020. The supplier warrants that all items are fit for purpose in a Doctor General Practitioner clinical setting in New Zealand Wellington.
5. Warranty: The supplier provides a minimum twelve (12) month warranty on all equipment items. Consumable items are covered under a thirty (30) day defect replacement policy.
6. Cancellation: This Purchase Order may be cancelled in whole or in part by the Doctor General Practitioner practice up to fourteen (14) days prior to the required delivery date. Cancellations after this period are subject to a 15% restocking fee on non-consumable items.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes shall be resolved in the District Court of Wellington, New Zealand.
8. Insurance: The supplier shall maintain adequate insurance coverage for all goods in transit to the New Zealand Wellington delivery address. Risk of loss passes to the buyer upon signed delivery at the practice premises.
9. Data Protection: The supplier acknowledges that no patient-identifiable information is included in this Purchase Order. Any software licences purchased must comply with the New Zealand Privacy Act 2020.
