Terms and Conditions
  1. This Purchase Order is issued by Abuja Federal Medical Services Limited (hereinafter referred to as "the Buyer") to Dr. Emeka Okafor, a duly registered Doctor General Practitioner with the Medical and Dental Council of Nigeria (hereinafter referred to as "the Supplier"), for the provision of medical services, equipment, and pharmaceuticals as detailed in the schedule above.
  2. All services rendered under this Purchase Order shall be performed in strict compliance with the professional standards and ethical guidelines established by the Medical and Dental Council of Nigeria and applicable healthcare regulations in Nigeria Abuja and the Federal Capital Territory.
  3. The Doctor General Practitioner shall maintain valid professional indemnity insurance coverage of not less than NGN 50,000,000 (Fifty Million Naira) for the duration of this engagement and shall provide a certificate of insurance upon request.
  4. Delivery of all physical goods, including diagnostic equipment and pharmaceuticals, shall be made to the Buyer's premises at Plot 14, Aminu Kano Crescent, Wuse II, Nigeria Abuja, within fourteen (14) calendar days from the date of this Purchase Order.
  5. Payment terms: The Buyer shall make payment within thirty (30) days of receipt of a valid tax invoice from the Supplier. Payment shall be made via bank transfer to the Supplier's designated account. The Buyer reserves the right to withhold payment for any services not rendered to the satisfaction of the Buyer's medical director.
  6. The Doctor General Practitioner shall maintain complete and accurate patient records in accordance with the National Health Act 2014 and the data protection provisions of the Nigeria Data Protection Act 2023. All patient data collected in Nigeria Abuja shall be stored securely and shall not be disclosed to third parties without written consent.
  7. This Purchase Order is governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abuja, FCT, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
  8. The Supplier warrants that all pharmaceuticals and medical supplies delivered under this Purchase Order are genuine, unexpired, and fully compliant with NAFDAC registration requirements for sale and use in Nigeria Abuja.
  9. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable only for services rendered and goods delivered up to the date of termination.
  10. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements relating to the engagement of the Doctor General Practitioner for the services described above.
Delivery and Acceptance

All services and goods under this Purchase Order shall be delivered and accepted at the following location: Abuja Federal Medical Services Limited, Plot 14, Aminu Kano Crescent, Wuse II, Abuja, FCT, Nigeria Abuja. The Buyer's designated receiving officer shall inspect all goods upon delivery and sign the delivery note. Services shall be deemed accepted upon completion and written confirmation by the Buyer's Medical Director.
