2. PURPOSE AND SCOPE

This Purchase Order is issued by Dr. Adewale O. Okonkwo, a registered Doctor General Practitioner operating a primary healthcare facility in Nigeria Lagos, to procure essential medical supplies, diagnostic equipment, and pharmaceutical stock required for the continued operation of the Okonkwo General Practice Clinic. 4. TERMS AND CONDITIONS OF THIS PURCHASE ORDER
  1. Payment Terms: The Doctor General Practitioner shall remit 50% of the total Purchase Order value (NGN 1,831,187.50) as an advance payment within five (5) business days of the date of this Purchase Order. The remaining 50% balance (NGN 1,831,187.50) shall be paid within seven (7) business days of confirmed delivery and inspection of all goods at the clinic premises in Nigeria Lagos.
  2. Delivery: The Seller shall deliver all items listed in this Purchase Order to the Okonkwo General Practice Clinic, 22B Awolowo Road, Yaba District, Nigeria Lagos, no later than 26th June 2025. Delivery shall be made between 8:00 AM and 4:00 PM on any business day. The Seller bears all risk of loss or damage until goods are received and signed for by the Doctor General Practitioner or an authorized representative.
  3. Quality Assurance: All pharmaceutical items must carry a minimum of eighteen (18) months remaining shelf life at the point of delivery. All medical devices must be new, unused, and accompanied by valid manufacturer warranties. The Doctor General Practitioner reserves the right to reject any item that does not meet the specifications outlined in this Purchase Order or that fails to comply with National Agency for Food and Drug Administration and Control (NAFDAC) regulations applicable in Nigeria Lagos.
  4. Warranty: All electronic and mechanical equipment (items 1, 2, 3, 4, 11, and 12) shall carry a minimum twelve (12) month manufacturer warranty from the date of delivery. The Seller shall coordinate any warranty claims on behalf of the Doctor General Practitioner.
  5. Regulatory Compliance: The Seller warrants that all pharmaceutical products listed in this Purchase Order are duly registered with NAFDAC and that all medical devices comply with the standards of the Medical Devices Authority (MDA) of Nigeria. Copies of registration certificates shall accompany the delivery to the clinic in Nigeria Lagos.
  6. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation. If unresolved within thirty (30) days, the matter shall be referred to the courts of competent jurisdiction in Lagos State, Nigeria Lagos.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or civil unrest in Nigeria Lagos.
  8. Validity: This Purchase Order is valid for thirty (30) days from the date of issue. If the Seller does not confirm acceptance within this period, the Purchase Order shall lapse and must be reissued.
NOTE: This Purchase Order is issued in accordance with the operational requirements of a Doctor General Practitioner's clinic in Nigeria Lagos. All transactions are subject to the Federal Inland Revenue Service (FIRS) guidelines and Lagos State tax regulations. The Doctor General Practitioner, Dr. Adewale O.
