- Acceptance: This Purchase Order shall be considered accepted upon written confirmation by MediSupply Philippines, Inc. within five (5) business days from the date of issue. Failure to confirm within this period shall constitute rejection of this Purchase Order.
- Delivery: All items must be delivered to the Santos General Practice Clinic address in Philippines Manila no later than June 26, 2025. Delivery shall be made between 8:00 AM and 5:00 PM, Monday through Friday. The supplier is responsible for all transportation costs within the Philippines Manila metro area.
- Quality Assurance: All medical equipment and supplies must be new, unused, and in full compliance with the Food and Drug Administration of the Philippines (FDA Philippines) standards. The Doctor General Practitioner reserves the right to inspect and reject any items that do not meet the specified quality requirements upon delivery.
- Payment: Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of confirmed delivery and acceptance of all items. The total amount due is PHP 334,668.00 (Three Hundred Thirty-Four Thousand Six Hundred Sixty-Eight Philippine Pesos and 00/100 only).
- Warranty: All equipment items carry the manufacturer's warranty as indicated in the Remarks column. The supplier shall coordinate any warranty claims on behalf of the Doctor General Practitioner during the warranty period.
- Compliance: The supplier warrants that all items comply with the Philippine Department of Health (DOH) regulations, the FDA Philippines product registration requirements, and all applicable laws of the Republic of the Philippines governing the sale and distribution of medical supplies in the Philippines Manila region.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved, the matter shall be submitted to the courts of competent jurisdiction in the Philippines Manila, specifically the Regional Trial Court of Makati City.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-mandated closures, or other events beyond reasonable control, as may be applicable under Philippine law.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines, including the Civil Code of the Philippines and the Philippine Tax Code.
