All payments under this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the supplier's designated account. The recruitment and placement fee (Item 01) shall be paid within fifteen (15) business days of the successful onboarding of the Doctor General Practitioner. Monthly professional service fees (Item 02) shall be invoiced on the first business day of each month and are due within twenty (20) calendar days of invoice receipt. The CME allowance, liability insurance, workstation provision, and relocation package shall be paid in accordance with the milestone schedule attached as Appendix B to this Purchase Order. Late payments shall incur a penalty of 0.05% per calendar day of delay, in compliance with the Civil Code of the Russian Federation.

The Doctor General Practitioner shall commence active clinical duties at the Saint Petersburg City Clinical Medical Center No. 7 no later than 1 August 2025. The supplier guarantees that all credentialing, licensing verification, and administrative registration procedures required by the healthcare regulatory authorities in Russia Saint Petersburg shall be completed prior to the commencement date. Failure to meet this deadline shall entitle the purchasing entity to a penalty of 5,000 RUB per calendar day of delay, up to a maximum of 100,000 RUB.

This Purchase Order is governed by the laws of the Russian Federation and the Federal Law No. 44-FZ on the Contract System in the Sphere of Procurement of Goods, Works, and Services for State and Municipal Needs. The Doctor General Practitioner engaged under this Purchase Order shall be bound by the confidentiality provisions of the Federal Law No. 152-FZ on Personal Data and shall maintain strict patient confidentiality in accordance with the medical ethics code of the Russian Federation. Any dispute arising from this Purchase Order shall be resolved through the Arbitration Court of Saint Petersburg and the Leningrad Region. This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
