5.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Doctor General Practitioner for the duration specified herein. All services shall be performed in Riyadh, Saudi Arabia, at the designated clinic facility or as otherwise agreed in writing.
5.2 The Doctor General Practitioner shall maintain a valid medical license issued by the Saudi Commission for Health Specialties (SCFHS) throughout the entire contract period. Any lapse in licensure shall result in immediate suspension of services and potential termination of this Purchase Order.
5.3 Payment terms: Net 30 days from the date of invoice submission. Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer to the account designated by the Doctor General Practitioner. All amounts are denominated in Saudi Riyals (SAR) and are subject to 15% Value Added Tax (VAT) as per the regulations of the Zakat, Tax and Customs Authority (ZATCA) of Saudi Arabia.
5.4 The Doctor General Practitioner shall comply with all data protection and patient confidentiality requirements under Saudi Arabian law, including the Personal Data Protection Law (PDPL) and the Saudi Ministry of Health's guidelines on medical record confidentiality.
5.5 Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of material breach, termination may be effected with 14 days' notice. Upon termination, all outstanding invoices for services rendered shall be settled within 30 days.
5.6 The Doctor General Practitioner shall carry professional medical malpractice insurance with a minimum coverage of SAR 2,000,000 per claim, maintained throughout the engagement period in Saudi Arabia.
5.7 All disputes arising from this Purchase Order shall be resolved through arbitration in Riyadh, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA), and the governing law shall be the laws of the Kingdom of Saudi Arabia.
5.8 The Doctor General Practitioner shall submit monthly performance reports detailing patient visits, diagnoses, referrals, and any adverse events to the Procurement Director of Al-Nakheel Health & Wellness Group.
6. Delivery / Service LocationAll services under this Purchase Order shall be delivered at the following primary location: Al-Nakheel Corporate Health Clinic, King Fahd Road, Al Olaya District, Riyadh 12212, Kingdom of Saudi Arabia. Additional service locations within the Riyadh metropolitan area may be designated by mutual written agreement between the parties.
