- This Purchase Order is issued by Clínica Dr. General Practitioner S.L., a registered medical practice operating in Spain Barcelona, and constitutes a binding request for the supply of medical equipment and consumables as detailed in Section 3 above.
- All items must comply with the European Union Medical Devices Regulation (EU) 2017/745 and the corresponding Spanish Royal Decree 512/2024. The supplier shall provide CE marking documentation, technical files, and conformity declarations for all Class IIa and above devices upon delivery.
- Delivery shall be made to the practice address listed in Section 1, located in the Eixample district of Spain Barcelona. The supplier is responsible for all transportation, insurance, and handling costs up to the point of delivery (DAP – Delivered at Place).
- The Doctor General Practitioner in charge, Dr. Maria Castellanos, reserves the right to inspect all delivered goods within five (5) business days of receipt. Any items found to be defective, damaged, or non-conforming to the specifications in this Purchase Order must be replaced or refunded within ten (10) business days at the supplier's sole expense.
- Payment shall be made via direct bank transfer (SEPA) to the account specified in Section 1 within thirty (30) calendar days from the date of the supplier's invoice, provided that all goods have been accepted in full compliance with this Purchase Order.
- The supplier warrants that all products are new, unused, and of the highest quality suitable for clinical use by a Doctor General Practitioner in a primary care setting in Spain Barcelona. A minimum two-year manufacturer's warranty applies to all electronic and mechanical equipment.
- Any modifications, cancellations, or amendments to this Purchase Order must be agreed upon in writing by both parties. Verbal agreements shall not be binding. The practice management in Spain Barcelona shall issue a formal amendment document referencing this Purchase Order number (PO-2025-BCN-04782).
- This Purchase Order is governed by the laws of the Kingdom of Spain. Any disputes arising from its execution shall be subject to the exclusive jurisdiction of the Courts and Tribunals of Barcelona, Spain.
- The supplier shall comply with all applicable data protection regulations, including the GDPR (EU) 2016/679 and the Spanish Organic Law 3/2018 (LOPDGDD), particularly regarding any patient data that may be processed through the electronic patient record software (Item 10).
- Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Spain Barcelona, shall temporarily suspend the obligations of both parties without penalty, provided written notice is given within 48 hours of the event.
