- Payment Terms: Net 30 days from the date of invoice. Payment shall be made via bank transfer to the account designated by MedEquip Iberia S.A. The Purchase Order is subject to the commercial terms agreed upon between the parties under Spanish commercial law (Código de Comercio).
- Delivery: All items shall be delivered to the Clínica General de Valencia S.L. premises located in Valencia, Spain, no later than 28 June 2025. Priority items (Ref 03 and Ref 05) must be delivered by 21 June 2025 to allow for installation and calibration prior to the Doctor General Practitioner resuming full patient consultations.
- Warranty: All equipment is covered by a minimum 24-month manufacturer warranty. The Doctor General Practitioner practice is entitled to on-site repair or replacement within 5 business days of reporting a defect to the supplier.
- Compliance: All medical devices must comply with the European Medical Device Regulation (EU) 2017/745 and hold valid CE marking. The supplier guarantees that all items meet the regulatory standards enforced by the Agència Valenciana del Medicament i Productes Sanitaris (AVMP) in the Comunitat Valenciana.
- Acceptance: The Doctor General Practitioner and clinic management shall inspect all delivered goods within 5 business days of arrival. Any discrepancies, damage, or non-conformities must be reported in writing to the supplier within this period.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Valencia region.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes shall be resolved by the competent courts of Valencia, Spain.
- Confidentiality: All information exchanged in connection with this Purchase Order, including patient-related operational details of the Doctor General Practitioner practice, shall be treated as confidential in accordance with the Spanish Organic Law 3/2018 on Data Protection (LOPDGDD) and the EU General Data Protection Regulation (GDPR).
