- This Purchase Order is issued by Dr. Ahmed El-Tahir, a licensed Doctor General Practitioner operating a private clinic in Sudan Khartoum, and constitutes a binding request for the supply of medical equipment, consumables, and software as itemized above.
- All goods shall be delivered to the clinic premises located at 22 Al-Rashid Street, Shambat, Sudan Khartoum, within fourteen (14) calendar days from the date of this Purchase Order. Delivery shall be completed between 08:00 and 16:00 local time (CAT, UTC+2).
- The supplier, Al-Nil Medical Supply & Equipment Co., warrants that all medical devices and equipment listed in this Purchase Order are new, unused, and compliant with the standards set by the Sudanese Ministry of Health and the Sudanese Medical Council for use by a Doctor General Practitioner in a primary care setting.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) days of the date of delivery and acceptance of goods. The Purchase Order total of SDG 2,292,300.00 is inclusive of all applicable taxes, duties, and delivery charges within the Sudan Khartoum metropolitan area.
- Any goods found to be defective, damaged, or non-conforming upon delivery shall be returned at the supplier's expense within seven (7) days. The supplier shall replace such items within ten (10) business days at no additional cost to the Doctor General Practitioner.
- The supplier shall provide a comprehensive warranty of no less than two (2) years on all electronic and mechanical equipment. Consumable items (gloves, syringes, first aid supplies) are warranted to be within their stated expiry dates at the time of delivery in Sudan Khartoum.
- This Purchase Order is governed by the laws of the Republic of the Sudan. Any disputes arising from this transaction shall be resolved through the competent courts in Sudan Khartoum.
- The Doctor General Practitioner reserves the right to modify, cancel, or amend this Purchase Order in writing prior to the supplier's confirmation of order acceptance. No verbal modifications shall be binding.
- All intellectual property rights associated with the electronic patient record software license remain with the software vendor. The Doctor General Practitioner is granted a single-user, non-transferable license for use exclusively at the Sudan Khartoum clinic location specified herein.
- This Purchase Order shall remain valid for thirty (30) days from the date of issue. If the supplier does not confirm acceptance in writing within ten (10) business days, this Purchase Order shall be considered lapsed and void.
