1. Scope of Engagement: This Purchase Order authorizes the procurement of professional medical services rendered by the named Doctor General Practitioner, Dr. Ahmed Khalid Al Mansoori, for the period specified herein. 3. Delivery and Commencement: All physical goods listed in this Purchase Order shall be delivered to the service location in Dubai Health Care City, Dubai, United Arab Emirates, no later than the dates specified in the line items. Professional services shall commence on 01 July 2025, subject to completion of all onboarding, background verification, and DHA facility registration procedures.

4. Payment Schedule: Payment shall be made in United Arab Emirates Dirhams (AED) via bank transfer within thirty (30) calendar days of receipt of a valid tax invoice. The Doctor General Practitioner's monthly compensation shall be invoiced on the last working day of each calendar month. Equipment and one-time purchases shall be invoiced upon delivery and acceptance.

5. Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the Purchasing Entity without cause, a pro-rata payment for services rendered up to the termination date shall be due. Termination for cause (including but not limited to professional misconduct, license revocation, or failure to meet clinical performance benchmarks) shall be effective immediately.

6. Confidentiality and Data Protection: The Doctor General Practitioner shall comply with all UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and DHA-specific patient confidentiality regulations. All patient records generated during the engagement shall remain the property of Al Noor Medical Group LLC.

7. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Dubai jurisdiction. Any disputes arising hereunder shall be referred to the Dubai Courts or, at the mutual agreement of both parties, to the Dubai International Arbitration Centre (DIAC).

8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, epidemics, or natural disasters affecting the United Arab Emirates Dubai region.

9. Anti-Bribery and Compliance: Both parties confirm compliance with UAE Federal Decree-Law No. 20 of 2016 on Anti-Corruption and Anti-Money Laundering. Any violation shall result in immediate termination and referral to the relevant UAE authorities.
