All goods specified in this Purchase Order must be delivered to the practice premises at 142 Deansgate, Manchester, United Kingdom, no later than 26 June 2025. The supplier is required to coordinate delivery with the practice's Practice Manager, Dr. Sarah Whitfield, who serves as the lead Doctor General Practitioner for administrative and procurement matters. Installation of the portable ECG machines and the electronic patient record software must be completed by the supplier's certified engineers within five (5) working days of delivery. All equipment must be CE-marked and fully compliant with UK Medical Device Regulations 2002 (as amended) and applicable United Kingdom Manchester local authority health and safety standards.
Upon delivery, the Doctor General Practitioner team and the designated practice administrator shall inspect all items listed in this Purchase Order within three (3) working days. Any items found to be damaged, defective, or not conforming to the specifications outlined herein shall be reported to the supplier in writing within the same period. The supplier shall replace or repair non-conforming goods at no additional cost to the practice within ten (10) working days of notification. Acceptance of goods does not waive any latent defect claims under the Sale of Goods Act 1979 as applicable in the United Kingdom.
Payment of £26,058.63 (twenty-six thousand and fifty-eight pounds and sixty-three pence) shall be made by BACS bank transfer within thirty (30) calendar days of receipt of a valid tax invoice from MedSupply UK Ltd. The invoice must reference this Purchase Order number (PO-2025-MCM-0487) and include the supplier's VAT registration number. Late payments shall attract interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, as applicable in United Kingdom Manchester and throughout the United Kingdom.
This Purchase Order is subject to the following conditions: (a) All goods are supplied new, unused, and in their original manufacturer packaging unless otherwise stated. (b) The supplier warrants that all medical devices supplied are registered with the Medicines and Healthcare products Regulatory Agency (MHRA) and carry valid CE/UKCA marking. (c) The supplier shall maintain adequate public liability insurance of not less than £10,000,000 for the duration of the contract. (d) This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements. (e) Any amendments to this Purchase Order must be made in writing and signed by both parties. (f) Governing law: The laws of England and Wales. Jurisdiction: The courts of Manchester, United Kingdom.
Both parties acknowledge that in the course of fulfilling this Purchase Order, they may come into possession of confidential information relating to the Doctor General Practitioner practice, including patient data, operational procedures, and financial records. All such information shall be treated in strict confidence and processed in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. No patient-identifiable information shall be shared with the supplier under any circumstances.
