All goods specified in this Purchase Order shall be delivered to the Tashkent City General Practitioner Clinic located at 42 Amir Temur Avenue, Tashkent, Uzbekistan, no later than 05 July 2025. Delivery must occur between 09:00 and 16:00 local time (UTC+5). The supplier is responsible for all transportation, insurance, and handling costs within Uzbekistan Tashkent. Upon delivery, the Doctor General Practitioner and clinic administrative staff shall inspect all items for completeness, damage, and regulatory compliance. A written acceptance certificate, signed by the Doctor General Practitioner in charge, must be issued within five (5) business days of delivery. Any discrepancies, shortages, or non-conforming items must be reported in writing to the supplier within the same five-day window. The supplier shall replace or rectify non-conforming goods at no additional cost to the clinic within ten (10) business days of notification.

Payment shall be made within thirty (30) calendar days from the date of the supplier's invoice, provided that all goods have been accepted in full compliance with this Purchase Order. Payment shall be executed via bank transfer to the following account:

The buyer reserves the right to withhold payment for any portion of the order that has not been delivered or accepted in accordance with the terms of this Purchase Order. All payments are subject to the tax and financial reporting requirements of the Republic of Uzbekistan as applicable in Tashkent.

The supplier warrants that all medical devices, pharmaceutical products, and consumables listed in this Purchase Order are fully registered and approved by the relevant authorities of the Republic of Uzbekistan, including the State Service for Control of Pharmaceutical and Medical Activities. All products must bear appropriate labeling in Uzbek and/or Russian, as required for use in Uzbekistan Tashkent healthcare settings. The supplier shall provide certificates of conformity, import permits (where applicable), and batch/lot traceability documentation for all pharmaceutical items. The Doctor General Practitioner at the receiving clinic holds ultimate clinical responsibility for the use of all procured items in patient care and shall ensure that all equipment is operated in accordance with manufacturer instructions and Uzbekistan Tashkent medical practice guidelines.

All medical equipment items (Items 01 through 06) carry a minimum manufacturer warranty of twenty-four (24) months from the date of acceptance. The supplier shall provide on-site technical support and repair services within Tashkent for the duration of the warranty period. Response time for warranty service requests shall not exceed forty-eight (48) hours. Pharmaceutical and consumable items (Items 07 through 12) must be delivered with a minimum remaining shelf life of eighteen (18) months from the date of delivery.

This Purchase Order is governed by the Civil Code of the Republic of Uzbekistan and applicable commercial legislation. Any disputes arising from this Purchase Order shall be resolved through negotiation between the parties, and failing such resolution, shall be submitted to the competent commercial court in Tashkent, Uzbekistan. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements. Amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. The supplier shall not assign or subcontract any obligation under this Purchase Order without the prior written consent of the Tashkent City General Practitioner Clinic.
