- This Purchase Order is issued by Clínica Médica del Este, C.A., located in Venezuela Caracas, for the procurement of medical equipment, diagnostic instruments, and consumable supplies specifically designated for the practice of the Doctor General Practitioner at the Chacao primary care facility.
- All items listed in this Purchase Order must comply with the regulatory standards established by the Venezuelan Ministry of Popular Power for Health (MINSA) and the National Institute of Food and Drug Control (INSAI). The Doctor General Practitioner shall verify compliance upon receipt of goods.
- Delivery shall be made DDP (Delivered Duty Paid) to the clinic address in Venezuela Caracas. The supplier assumes all risk of loss or damage until the goods are physically received and inspected at the designated location in Venezuela Caracas.
- Payment shall be made within thirty (30) calendar days from the date of confirmed receipt and acceptance of all items listed in this Purchase Order. Payment shall be processed via international wire transfer in US Dollars to the account designated by the supplier, in accordance with the Central Bank of Venezuela (BCV) foreign exchange regulations.
- The Doctor General Practitioner, Dr. Alejandro Rivas Mendoza, M.D., is the authorized technical recipient and shall conduct a quality inspection of all delivered items within five (5) business days of arrival in Venezuela Caracas. Any discrepancies, damages, or non-conformities must be reported in writing to the supplier within this period.
- All medical devices and equipment covered by this Purchase Order shall carry a minimum manufacturer warranty of twenty-four (24) months from the date of delivery in Venezuela Caracas. Warranty service and technical support shall be available through the supplier's authorized representative in Venezuela Caracas.
- The supplier warrants that all goods are new, unused, and free from defects in material and workmanship. The supplier further warrants that the goods do not infringe upon any intellectual property rights and are not subject to any export restrictions applicable to Venezuela Caracas.
- This Purchase Order is governed by the commercial laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas, in accordance with the rules of the Venezuelan Chamber of Commerce.
- The supplier acknowledges that the end-user of all items in this Purchase Order is a licensed Doctor General Practitioner operating a primary care clinic in Venezuela Caracas, and all items are intended exclusively for legitimate medical and diagnostic purposes.
- Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or email communications shall not constitute a valid amendment to this Purchase Order.
