- Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Supplier. The Supplier must confirm acceptance of this Purchase Order within five (5) business days of the date of issue. Failure to respond within this period shall be construed as rejection of this Purchase Order.
- Delivery: All goods specified in this Purchase Order must be delivered to the Doctor General Practitioner's clinic premises located at 42 Samora Machel Avenue, Avondale, Harare, Zimbabwe, no later than 28 June 2025. Delivery shall be made between 08:00 and 16:00 on any business day. The Supplier bears all risk of loss or damage until goods are received and inspected by the Buyer in Zimbabwe Harare.
- Quality Standards: All medical equipment and supplies must comply with the standards set by the Medical Council of Zimbabwe and the Zimbabwe National Standards Authority (ZANAS). All electronic medical devices must carry valid CE marking or equivalent certification. The Doctor General Practitioner reserves the right to reject any item that does not meet the specifications outlined in this Purchase Order.
- Payment: Payment of the full amount stated in this Purchase Order shall be made within thirty (30) calendar days of the date of invoice, provided all goods have been delivered, inspected, and accepted. Payment shall be made via bank transfer to the Supplier's designated account in Harare, Zimbabwe. The Buyer shall not be liable for any late payment penalties if delivery is delayed beyond the stipulated date.
- Warranty: The Supplier warrants that all equipment supplied under this Purchase Order is free from defects in materials and workmanship. A minimum warranty period of twelve (12) months applies to all electronic and mechanical devices. Consumable items are warranted to be unused, unexpired, and in original sealed packaging at the time of delivery in Zimbabwe Harare.
- Installation and Training: The Supplier shall provide on-site installation of the Portable ECG Machine and Digital Blood Pressure Monitors at the Doctor General Practitioner's clinic in Harare. A minimum of two (2) hours of operational training for the clinic nursing staff shall be included at no additional cost.
- Compliance with Zimbabwean Law: This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Zimbabwe. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Harare, Zimbabwe. The Supplier confirms that all goods are legally importable and sellable within Zimbabwe and that all applicable import duties, customs clearance fees, and regulatory approvals have been or will be obtained prior to delivery.
- Confidentiality: The Supplier acknowledges that the Doctor General Practitioner's patient records, clinic operational data, and any proprietary information shared in connection with this Purchase Order are strictly confidential and shall not be disclosed to any third party without prior written consent.
- Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, civil unrest, or pandemics affecting the Harare, Zimbabwe region.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by both the Doctor General Practitioner (Buyer) and an authorized representative of the Supplier.
