Delivery is expected within 21 business days from the date of this Purchase Order. The first shipment of print editions shall arrive no later than July 3, 2025. Digital access credentials for The Economist platform shall be provisioned within 5 business days of confirmed payment. All shipments are subject to Argentine customs regulations administered by the Dirección General de Aduanas (DGA) in Buenos Aires.
Payment shall be made in US Dollars (USD) via international wire transfer to the account designated by The Economist Media & Distribution Ltd. The payment schedule is as follows:
- 40% Advance Payment: USD 213,100.00 due within 10 business days of Purchase Order acceptance (by June 26, 2025).
- 60% Balance Payment: USD 319,650.00 due upon confirmed delivery of all physical goods to Buenos Aires, Argentina, and successful activation of all digital licenses.
Bank details for the receiving institution in Buenos Aires, Argentina, shall be provided in a separate secure annex. Late payments shall incur a penalty of 1.5% per month, in accordance with Argentine commercial law (Código Comercial de la Nación).
- This Purchase Order constitutes a binding agreement between Editorial del Plata S.A. (Buyer, Buenos Aires, Argentina) and The Economist Media & Distribution Ltd. (Seller, London, UK) upon written acceptance by both parties.
- All intellectual property rights associated with The Economist publication, including but not limited to articles, graphics, data visualizations, and audio content, remain the exclusive property of The Economist. The Buyer is granted a non-transferable license for internal editorial reference and limited redistribution within Argentina.
- The Seller guarantees that all copies of The Economist delivered to Buenos Aires, Argentina, shall be in pristine condition, free from damage, and conforming to the specifications outlined in this Purchase Order.
- In the event of non-conformity, the Buyer shall notify the Seller within 15 business days of receipt in Buenos Aires. The Seller shall replace defective items at no additional cost within 30 days.
- This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in Buenos Aires, Argentina, in accordance with the rules of the Cámara de Comercio Internacional (ICC).
- Force majeure events, including but not limited to natural disasters, government sanctions, or disruptions to Argentine currency exchange controls (BCRA regulations), shall excuse timely performance. Both parties shall negotiate in good faith to mitigate delays.
- The digital access to The Economist platform is subject to the standard Terms of Service of Economist.com. The institutional license is valid for the 12-month term specified and is non-renewable unless a separate Purchase Order is executed.
- All communications regarding this Purchase Order shall be conducted in English. Official documents submitted to Argentine tax authorities (AFIP) in Buenos Aires shall be translated into Spanish by a certified translator.
- This Purchase Order may not be assigned or transferred by either party without prior written consent of the other. Any amendments must be made in writing and signed by authorized representatives of both parties.
- The Buyer acknowledges that import of printed publications into Argentina is subject to the regulations of the Ministerio de Economía and the Banco Central de la República Argentina (BCRA) regarding foreign currency transactions.
