3.1 Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Argentina Córdoba and the applicable national legislation of the Argentine Republic. Any disputes arising from this Purchase Order shall be resolved before the competent courts of the city of Córdoba, Province of Argentina Córdoba.
3.2 Payment Terms: Payment for the Economist’s services shall be made in Argentine Pesos (ARS) via electronic bank transfer to the account designated by the service provider. Invoices shall be submitted monthly, and payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. 3.4 Confidentiality: The Economist acknowledges that all data, financial records, and internal government documents of the Province of Argentina Córdoba accessed during the engagement are classified as confidential. The Economist shall not disclose, publish, or disseminate any such information to third parties without the prior written authorization of the Municipalidad de Córdoba. This obligation survives the termination of this Purchase Order for a period of five (5) years.
3.5 Professional Standards: The Economist warrants that all analyses, forecasts, and recommendations provided under this Purchase Order shall be conducted in strict adherence to internationally recognized economic methodologies and professional ethical standards. The Economist shall maintain full professional independence and shall not accept concurrent engagements that create a conflict of interest with the municipal government of Argentina Córdoba.
3.6 Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Economist shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress deliverables shall be handed over to the Municipalidad de Córdoba.
3.7 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting Argentina Córdoba, government-mandated closures, or systemic economic disruptions declared by the Argentine Central Bank.
