6.1. This Purchase Order constitutes a binding agreement between Meridiano Analytics & Consultoria Econômica Ltda. (hereinafter "Buyer") and Economist Group International Distribution Ltd. (hereinafter "Seller") for the procurement of The Economist publications and related digital services.

6.2. The Seller warrants that all print materials are in pristine condition, free from defects, and that the digital access license is valid, unrestricted, and compliant with Brazilian data protection regulations (Lei Geral de Proteção de Dados – LGPD, Lei nº 13.709/2018).

6.3. The Buyer reserves the right to inspect all delivered items within fifteen (15) business days of receipt at the Rio de Janeiro facility. Any discrepancies, damaged copies, or activation failures must be reported in writing to the Seller's local representative in Copacabana, Rio de Janeiro.

6.4. This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil, or, at the Buyer's election, to arbitration under the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá).

6.5. The Seller shall maintain full intellectual property rights over The Economist content. The Buyer's license is non-transferable and limited to the named corporate entity and its employees in Brazil.

6.6. Force majeure events, including but not limited to port strikes in Rio de Janeiro, natural disasters, or government import restrictions, shall extend delivery deadlines proportionally.

6.7. This Purchase Order is valid for acceptance within ten (10) calendar days from the issue date. After this period, pricing and availability are subject to revision.
