3.1 This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from the execution of this Purchase Order relating to the supply of Economist materials to China Beijing shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing.

3.2 The Seller warrants that all Economist publications, digital licenses, and research materials delivered under this Purchase Order shall be authentic, current, and in full compliance with the intellectual property rights of The Economist Group. No counterfeit, pirated, or unauthorized reproductions shall be accepted.

3.3 Payment shall be made within thirty (30) calendar days of the date of this Purchase Order via wire transfer to the Seller's designated bank account. Late payments shall incur a penalty of 0.05% per calendar day on the outstanding balance.

3.4 The Buyer reserves the right to inspect all Economist materials upon arrival at the receiving facility in China Beijing. Any discrepancies in quantity, condition, or content must be reported in writing within five (5) business days of delivery.

3.5 The Seller shall provide a formal commercial invoice and packing list accompanying each shipment of physical Economist publications to China Beijing. All customs documentation required for import clearance into the People's Republic of China shall be prepared and provided by the Seller at no additional cost to the Buyer.

3.6 This Purchase Order is valid for a period of thirty (30) days from the date of issue. If the Seller does not acknowledge receipt and acceptance of this Purchase Order within ten (10) business days, the Buyer shall be entitled to cancel this Purchase Order without penalty.

All physical Economist publications and hardcover special reports shall be delivered to the following address in China Beijing:

Digital licenses and access credentials for the Economist platform shall be transmitted electronically to the Buyer's IT department no later than five (5) business days prior to the start of the subscription period. The Seller shall ensure that all digital access is configured to function without restriction within the China Beijing network infrastructure, including compliance with local data residency requirements.

Delivery of the first batch of print Economist subscriptions is scheduled for no later than July 1, 2025. Subsequent monthly deliveries shall occur on or before the 5th of each calendar month. The Seller shall bear all shipping, insurance, and customs clearance costs associated with delivery to China Beijing under the DDP (Delivered Duty Paid) Incoterm.

By signing below, the authorized representatives of both parties confirm that this Purchase Order accurately reflects the agreed terms for the procurement of Economist publications and services for use in China Beijing. This Purchase Order constitutes a binding commercial agreement upon execution by both parties.
